Rafał Kasterski

Rafał Kasterski is an attorney-at-law; he also completed judicial training concluded with the judge's examination. He has led numerous privatisation and restructuring projects for enterprises and companies. He has advised on investment, acquisition and capital market projects — on both the private and the public market. He has negotiated mergers, acquisitions and share sale agreements. He directed the preparation of prospectuses and represented clients in proceedings before the Polish Financial Supervision Authority and the bodies of the Warsaw Stock Exchange.
A separate area of his specialisation is comprehensive advice on new technology and ICT projects. He has provided legal assistance to IT divisions of companies and public institutions. He has advised on IT and telecommunications projects for banks, brokerage houses, insurance companies, transport sector companies and public finance sector entities in implementations of large and very large IT systems. He is familiar with the industry, its business realities, IT technologies, and project management standards and methodologies. He supports contracting authorities, contractors and consulting firms. He prepares legal opinions and audits of IT projects and recommendations on resolving contentious matters.
He has drafted and negotiated contracts and supported the organisation of public and private tenders. He has advised on the choice of the award procedure and the preparation of proceedings, and supported the drafting of conditions for participation, tender evaluation criteria and the description of the subject matter of the contract. He has drafted contracts and project procedures, reviewed documents, and provided support in the course of proceedings and in legal remedy procedures. He has taken part in negotiations with contractors and in project team meetings. He provides legal assistance to public procurement departments.
He represents clients before common courts, arbitration tribunals and the National Appeal Chamber (KIO).
He graduated with distinction from the Faculty of Law and Administration of the University of Łódź. From 1989 to 1996 he worked at the Chair of Business and Commercial Law of the University of Łódź, where he taught business law. He completed Post-Graduate Studies in Legislative Issues at the University of Warsaw. From 1992 to 1996 he worked at the Ministry of Ownership Transformations, where he served as advisor to the minister. He is a co-author of the draft act on commercialisation and privatisation of state-owned enterprises, the act on investment funds, and the act on compensation for the temporary freezing of salaries in the budget sector and for the loss of certain pension increases and allowances.
He has served on supervisory boards of public and private entities. He is a founding member of the Association of Rail Transport Experts and Managers, within which he takes part in reviewing legislative changes to rail transport regulations. He has been a member of the Warsaw Bar Association of Attorneys-at-law (OIRP) since 1996.

Marta Bieniek
Attorney-at-law (radca prawny)
Marta Bieniek is an attorney-at-law. She has been with the firm since 2008. She advises business entities, in particular commercial companies, on corporate matters and day-to-day operations, as well as local government units and other public finance sector institutions. She handles purchasing procedures, including public procurement.
She takes part in preparing legal analyses of companies, in restructuring and privatisation projects, mergers and acquisitions, and legislative advisory work.
She represents clients before common courts in registry, land and mortgage register, civil, commercial, labour law and social insurance proceedings, as well as before administrative courts. She also advises individuals in family, inheritance and Swiss franc loan matters.
She graduated from the Faculty of Law and Administration of the University of Warsaw. She completed her bar training at the Warsaw Bar Association of Attorneys-at-law and passed the bar examination in 2014.

Jolanta Cetwińska
Partner
Jolanta Cetwińska has extensive experience in providing legal services to public administration bodies and business entities; she specialises in company law, labour law and securities law. Her practice covers legislation, M&A transactions and restructuring projects.
From 1989 she worked at the Office of the Government Plenipotentiary for Ownership Transformations and then at the Ministry of Ownership Transformations, where she served, among other roles, as Director of the Legal Department. She took part in the work on the act on privatisation of state-owned enterprises. She is a co-author of, among others, the draft acts on commercialisation and privatisation of state-owned enterprises, on amending the act on companies with foreign shareholding, and on investment funds, as well as draft implementing regulations to the act on national investment funds.
From 1996 to 1998 she was a member of the Arbitration Court at the National Depository for Securities.
